A Special Workshop on Independent Directors on Corporate Fraud - IOD and Deloitte India, basis Survey Report (Friday) April 22, 2022 | 1600 - 1800 Hrs IST | Virtual Independent Directors are said to be the ‘gate-keepers’ of sound corporate governance practices in boardrooms, as organisations tread the path of sustained growth. The critical role of Independent Directors (IDs) in Boardrooms has been highlighted in recent months with Indian Regulators and the Ministry of Corporate Affairs, Govt, of India focussing their efforts on the boardroom cohort. From their appointment/re-appointment, removal, remuneration, even limiting criminal liability and empowering IDs, special focus has been on laying the ground for effective corporate practices as the Indian economy readies for future growth; poised to become a global economic superpower. In our continued concerted efforts towards capacity and knowledge-building in boardrooms, the Institute of Directors is hosting a ‘Special Workshop on Independent Directors’, on Friday, April 22, 2022, between 1600 - 1800 hrs, virtually, on IOD’s licensed Zoom platform. It is being hosted to deliberate findings of the online survey jointly conducted by Institute of Directors (IOD) and Deloitte Touche Tohmatsu India LLP (DTTILP) on ‘Corporate Fraud and Misconduct: Role of Independent Directors’, with a view to understand how IDs perceive corporate fraud, their preparedness in addressing it, and the best practices to mitigate the fraud and misconduct risks. It was released during the last ‘Annual Directors’ Conclave 2021’, held in October 2021. This special workshop aims to discuss and deliberate the views of some of the leading Independent Directors, on their vital role in Boardrooms, and in addressing corporate fraud and misconduct. |

Corporate Governance & Sustainability 2022 The Future Boards in a VUCA World: New trends in Corporate Governance & Sustainability (Wed) March 23, 2022 | 1430-1900 Hrs IST Concept Note: 2021 threw companies and their boards curveball after curveball. They started the year on a hopeful note sparked by the COVID-19 vaccine rollout, but ended it in the midst of new outbreaks caused by the Omicron variant. We are in rapidly changing times and witnessing a shift in the way organisations operate. With the onset of the pandemic, increased regulatory requirements, a raft of strong socio-economic headwinds, internal and external pressures from shareholders and stakeholders, boards may feel they are constantly in crises mode trying to figure their company's way out. On top of these, boards are faced with emerging risks and considerations such as data protection, technology risk, and ESG. These events are dictating the course of the future and it is important that boards are alert to this. In this Global Webinar, we will discuss and highlight some of the key trends boards and their directors must give attention to in navigating towards the future. To discuss about the Key Trends in Corporate Governance & Sustainability, Institute of Directors, India is organising a special Global Virtual Session on Wednesday, March 23, 2022 through the digital mode. The theme of the Webinar is 'The Future Boards in a VUCA World: New trends in Corporate Governance & Sustainability'. 2021-15th Conference on Corporate Social Responsibility and Golden Peacock Awards Ceremony (virtual)
Concept Note: While discourse has moved from embedding CSR into corporate strategy, to the rise of a Corporate Citizenship, building a “better normal” by repairing and reshaping the world community is the need of the hour. This will require transformational leaders to take careful stock of their corporate purpose, moving beyond its WHY to define the HOW, to actually move the needle and create value. Companies will have to consider their social strategy, and determine how it engages with key stakeholders-from investors and customers to employees and communities to ensure organisational success. The Institute of Directors, India is organising the 15th Conference on Corporate Social Responsibility and Golden Peacock Awards Ceremony (virtual) for ‘Corporate Social Responsibility’ (National & Global) & ‘HR Excellence’ on (Thursday) June 10, 2021 | 1200 - 1815 hrs (IST). We will also deliberate on the strategies of leaders for redefining their corporate purpose for sustained value creation in the long term, and also engage with all stakeholders on the matter effectively. |

2021-Golden Peacock Awards Ceremony (Virtual) Today, Boards are also expected especially to focus on improving their effectiveness - not just mere compliance, but also Environment, Social, and Governance (ESG) performance for long term sustainability and making it investor friendly. Boards require frameworks for optimizing board engagement and performance to also enhance contribution of individual board members to meet greater transparency and sever accountability. Over the years, the idea of independent corporate boards has taken strong roots in Corporate Governance despite the misgivings and controversies surrounding the concept. Corporate Governance has now become more central and Sustainability has redefined itself in the Covid-19 era. |
